MTN Uganda appoints Winifred Kiryabwire to Board of Directors

Speaking of her appointment, Ms Kiryabwire revealed how this was not the first time she would serve on a board for both the private, public sector and international organizations.

MTN Uganda Ltd has appointed Prof. Winifred Tarinyeba Kiryabwire (above) to its board of directors.

KAMPALA, UGANDA: Uganda’s telecom giant MTN Uganda Ltd has appointed Prof. Winifred Tarinyeba Kiryabwire to its board of directors.

In a Wednesday statement, MTN said the move is following rule 36 of the Uganda Securities Exchange listing rules 2021.

“The board of directors (the ‘board’) of MTN Uganda Limited (‘MTN’ and the ‘Company’) announces the appointment of Professor Winnie T. Kiryabwire as an independent non-executive director effective March 3, 2023,” Enid Edroma the MTN company secretary in a statement.

“MTN’s board welcomes Prof. Kiryabwire to the team and expresses confidence that her wealth of experience and expertise will be invaluable in helping the company achieve its strategic goals and objectives,” the statement added.

Speaking of her appointment, Ms Kiryabwire revealed how this was not the first time she would serve on a board for both the private, public sector and international organizations.

“Governance is my passion and for me, it’s an opportunity to serve. MTN is a listed company and I have worked in the capital markets area for a very long time and so it’s an opportunity to make a real contribution,” Kiryabwire said over the phone.

According to Kiryabwire, MTN is the most recent public listing Uganda has had on the stock exchange, which was an opportunity for Ugandans to own a stake in the organization and an opportunity for public participation.

“For MTN, they have been around for like 24 years, this should be their 25th and this should be the turning point and milestone as a listed company. For me, it’s an interesting opportunity to walk this journey with MTN as a listed company,” Kiryabwire said.

“The expectations of listed companies are very different from a private company and the interests, you have got to consider minority shareholders, large shareholders as a listed entity and to be involved in the governance of this entity is interesting.”

Profile Background

Kiryabwire is a certified company director and has served in governance and oversight roles with various organizations in the public, private, and not-for-profit sectors.

She is currently the chairperson of the dfcu Bank board and a member of the board of Jubilee Allianz Uganda.

She also presently serves as an associate professor in the Department of commercial law at the School of Law, Makerere University.

She has a Doctor of the Science of Law degree (JSD) and a Master of Science of Law degree (JSM) from Stanford University, USA as well as a Master of Laws degree (LLM) from Cambridge University, UK. Additionally, she possesses a postgraduate diploma in legal practice from the Law Development Centre, Uganda, and a Bachelor of Laws degree from Makerere University in Uganda.

Kiryabwire has previously served as a member of the International Ethics Standards Board for Accountants (IESBA), Non- executive director for dfcu Ltd, Financial Sector Deepening Uganda (FSDU), Makerere University Holdings Gatsby Microfinance Uganda, and African Alliance Uganda.
