URSB deregisters over 50,000 companies for non-compliance

The Uganda Registration Services Bureau (URSB) has deregistered 50,003 companies for failing to restore their status after being struck off for not complying with filing requirements. Despite multiple warnings, these companies did not meet the restoration deadline. This action aims to enhance corporate governance and remove non-compliant entities from the registry.

Kampala, Uganda: The Uganda Registration Services Bureau (URSB) has deregistered 50,003 companies from Uganda’s companies register for failing to apply for restoration after being struck off for non-compliance with statutory filing requirements.

In a public notice dated December 30, 2025, the Registrar of Companies said the affected entities were removed from the register in accordance with Section 130(6) of the Companies Act, Cap. 106, after failing to file annual returns for a continuous period of five years.

According to the notice, URSB had earlier issued multiple warnings to defaulting companies through official notices dated July 20, August 14, and August 30, 2023, giving them an opportunity to regularise their status.

Companies that were struck off were required to apply for restoration within 12 months from the date of deregistration, but URSB, in its statement, said the 50,003 companies failed to meet that deadline, prompting their final removal from the register.

“The Registrar of Companies has deregistered 50,003 companies that failed to apply for restoration,” the notice reads in part.

URSB further said it has published the full list of the deregistered companies on its official website, and affected entities or interested parties have been advised to review the details online if they wish to reactivate their profiles.

The mass deregistration is one of the largest regulatory clean-up exercises in recent years, aimed at strengthening corporate governance, improving data integrity, and eliminating dormant or non-compliant entities from Uganda’s business registry.

URSB officials have in the past warned that companies which fail to meet statutory obligations risk losing legal standing, including the ability to conduct business, enter contracts, or access financial services.

The bureau strongly urged business owners and directors to remain compliant by filing annual returns on time and keeping their registration details up to date to avoid similar sanctions in future.
